Terms of Service

These Terms of Service ("Terms") govern your use of the Netwing website, mobile app, and related services (collectively, the "Service"), operated by Ember Development Studios, LLC ("Ember," "we," "us"). By creating an account or using the Service, you agree to these Terms.

1. Acceptance of terms

By accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.

2. The Service

Netwing connects people with local networking organizations and their events — following organizations, RSVPing, QR check-in, and professional networking. Creating an account is free, and so is finding events, following organizations, RSVPing and checking in. Organizations may claim a profile and use the organization tools for free. Members can choose to pay for Netwing Business Plus, an optional subscription that adds tools for following up after an event (section 4).

3. Eligibility & accounts

• You must be at least 18 years old to create an account.
• You are responsible for keeping your login credentials confidential.
• Provide accurate information and keep your profile up to date.
• One account per person; sharing or transferring accounts is prohibited.
• Notify us immediately of any unauthorized account access.

4. Netwing Business Plus

Netwing Business Plus is an optional paid subscription for members. It currently adds: sending connection requests; seeing other members' full professional profiles and the contact details they have chosen to share with Business Plus members; contact matching; advanced people search; sending and receiving business referrals; a private client book; and networking results. The current list is at netwing.app/plus. You do not need Business Plus to browse events and organizations, RSVP, follow, check in, accept connection requests, or message your connections.

Price and where you buy it. Business Plus costs $14.99 per month or $149.99 per year in the United States. There is no free trial. You can buy it:

• in the Netwing app for iPhone, billed by Apple through your App Store account;
• in the Netwing app for Android, billed by Google through Google Play; or
• on the web at netwing.app/plus, billed by us through Stripe.

The price for the plan you choose is shown before you confirm the purchase; in the app it is the price your app store sets for your country. If you enter a promotion code at web checkout, the checkout page shows the discounted price and how long the discount applies before you pay. Purchases made in the app are managed with RevenueCat, a service that tells us when a store subscription starts, renews or ends. An account can hold one Business Plus subscription at a time — if you already subscribe in one place, you will not be offered a second purchase in another.

Automatic renewal. Business Plus renews automatically at the end of each month or year, for the same period, until you cancel. You are charged again at each renewal, at the price you subscribed at unless that price has changed as described below:

• App Store — Apple charges the renewal to your App Store account within the 24 hours before the current period ends. Cancel at least 24 hours before the period ends to avoid the next charge.
• Google Play — Google charges each renewal to your Google Play payment method. Cancel before the renewal date shown in your Google Play subscriptions to avoid the next charge.
• Web — the card you paid with is charged at the end of each period. Cancel before the renewal date shown at netwing.app/plus to avoid the next charge.

Price changes. We may change the price of Business Plus. A new price never applies to a period you have already paid for, and it applies to your renewals only after you have been told about it. For App Store and Google Play purchases, Apple or Google notifies you, and may ask you to agree to the new price before it applies. For web purchases, we email the address on your account before the first renewal at the new price. If you do not want the new price, cancel before it takes effect.

How to cancel. You cancel where you bought it:

• App Store — in your App Store account's subscription settings, or from Manage subscription on the Business Plus screen in the app.
• Google Play — in your Google Play subscriptions, or from Manage subscription on the Business Plus screen in the app.
• Web — sign in at netwing.app/plus and choose Manage subscription.

The app cannot cancel a subscription bought on the web, and the website cannot cancel one bought in an app store. Removing the app from your device does not cancel a subscription, and neither does deleting your Netwing account — cancel the subscription first (see section 11). When you cancel, you are not charged again and Business Plus stays active until the end of the period you have already paid for.

Refunds. Refunds for App Store and Google Play purchases are handled by Apple and Google under their own refund policies. For a purchase made on the web, contact support@emberdevstudios.com. If Apple or Google refunds a purchase, Business Plus may end when the refund is issued.

If a payment fails. If a renewal payment does not go through, Business Plus stops until it does. The App Store and Google Play may keep it active for a short grace period while they retry. For a web subscription, you can update your card under Manage subscription at netwing.app/plus.

When Business Plus ends. Your account returns to the free plan. Nothing is deleted. Your connections and messages stay as they are. Your client book and the details of your business referrals are locked: you can see how many records you have, but you cannot open, change or add to them until you subscribe again, when they return as you left them. A locked client book is still included when you download your data.

5. Organization tools & sponsor payments

Organization tools on Netwing — the public page, events, QR check-in, contacts, campaigns and analytics — are free. We do not charge organizations a subscription fee for the admin portal.

Organizations may sell featured sponsor placements through Netwing. Those payments are made by the sponsor and processed by Stripe: funds settle to the organization's own Stripe payout account, and Netwing retains a platform fee (currently 15%) on each payment. Sponsor placements renew monthly until cancelled by the organization, and are refundable only in cases of duplicate charge, manifest error, or fraud.

6. Events are hosted by organizations

Events listed on Netwing are organized, hosted, and controlled by the organizations that publish them — not by Ember. We do not vet venues, attendees, or event content, and we are not responsible for what occurs at any event. Ticket purchases, where offered, are transacted on the organization's own ticketing provider under that provider's terms. You attend events at your own discretion and risk.

7. Organization claims & admin conduct

Claiming an organization profile requires verification that you are authorized to represent it. We may request documentation, decline any claim we cannot verify, or revoke admin access obtained through misrepresentation. Organization admins are responsible for the accuracy and legality of the content they publish, including event details and uploaded images.

8. Code of conduct

While using the Service, you agree NOT to:

• Misrepresent your identity, professional details, or authority to claim an organization.
• Harass, intimidate, or discriminate against any user, organizer, or attendee.
• Post content that is unlawful, defamatory, obscene, hateful, or infringing.
• Scrape or harvest attendee or organization data, or use it for unsolicited marketing.
• Check in to events you did not attend, or manipulate QR codes or attendance records.
• Send spam, malware, or disruptive content through the Service.
• Share another person's details in a business referral without their permission.
• Attempt unauthorized access to any account, system, or data.

Violations may result in suspension or termination without refund and may be reported to law enforcement where appropriate.

9. Content ownership

Netwing branding, design, and platform content are owned by Ember Development Studios, LLC and protected by copyright and trademark law. Content you or your organization submit (profiles, event listings, images, descriptions) remains yours; by submitting it you grant us a non-exclusive, royalty-free license to display, store, and share it within the Service in accordance with your settings.

10. Communications

By creating an account you consent to receive transactional emails (confirmations, receipts, security and account notices) essential to the Service. Marketing communications, if introduced, will be opt-in and separately unsubscribable.

11. Termination

You may close your account at any time from the app or by emailing support@emberdevstudios.com. We may suspend or terminate accounts for violations of these Terms, non-payment, or as required by law.

Closing your account does not cancel a Business Plus subscription. Your app store, or Stripe for a web purchase, keeps charging you until the subscription itself is cancelled, so cancel it first, as described in section 4. See our account deletion page for what is deleted and what is kept.

12. Disclaimers

The Service is provided "as is" without warranties of any kind. We do not guarantee uninterrupted access, the accuracy of event listings, or the conduct of any user or organization on or off the platform. Networking and business introductions made through Netwing are at your own discretion and risk.

13. Limitation of liability

To the maximum extent permitted by law, Ember Development Studios, LLC and its officers, employees, and contractors will not be liable for any indirect, incidental, special, or consequential damages, or for lost profits or revenue, arising from your use of the Service or attendance at any listed event. Our total liability for any claim is limited to the amount you paid for the Service in the 12 months before the claim — including what you paid Apple or Google for Netwing Business Plus. Nothing in these Terms limits liability that cannot be limited by law.

14. Dispute resolution & governing law

These Terms are governed by the laws of the State of Florida, USA, without regard to conflicts of law principles. Any dispute that cannot be resolved informally will first proceed to good-faith mediation; if mediation fails, disputes will be resolved by binding arbitration in Volusia County, Florida, under the rules of the American Arbitration Association. You waive any right to a jury trial or to participate in a class action.

15. Changes to these terms

We may update these Terms from time to time. Material changes will be posted here with a new "Last updated" date and, where appropriate, announced by email. Continued use of the Service after the effective date constitutes acceptance. Changes to the price or renewal terms of a subscription you already have apply only as described in section 4.

16. App Store and Google Play

If you get the Netwing app from Apple's App Store or from Google Play, these Terms are between you and Ember — not Apple or Google. Apple and Google are not responsible for the app or its content, and they do not provide support for it; contact us instead. They bill, renew and refund the purchases you make through them under their own terms (section 4). Your use of the app must also follow the terms of the store you got it from, which for the iPhone app include Apple's standard Licensed Application End User License Agreement.
