Terms of Service

These Terms of Service ("Terms") govern your use of the Netwing website, mobile app, and related services (collectively, the "Service"), operated by Ember Development Studios, LLC("Ember," "we," "us"). By creating an account or using the Service, you agree to these Terms.
1. Acceptance of terms
By accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.
2. The Service
Netwing connects people with local networking organizations and their events — following organizations, RSVPing, QR check-in, and professional networking. Attendee accounts are free. Organizations may claim a profile and subscribe to publish events and access engagement tools.
3. Eligibility & accounts
- You must be at least 18 years old to create an account.
- You are responsible for keeping your login credentials confidential.
- Provide accurate information and keep your profile up to date.
- One account per person; sharing or transferring accounts is prohibited.
- Notify us immediately of any unauthorized account access.
4. Organization subscriptions & billing
Organization plans are billed monthly through Stripe and are tiered by follower count. As an organization's following grows past a tier threshold, continued use of the admin portal requires accepting the corresponding plan upgrade.
- Automatic renewal: subscriptions renew monthly until cancelled. Cancellation takes effect at the end of the current billing period.
- Refunds: fees for a billing period already started are non-refundable, except in cases of duplicate charge, manifest error, or fraud.
- Plan changes: upgrades take effect immediately with prorated billing handled by Stripe; downgrades are available when follower count permits.
5. Events are hosted by organizations
Events listed on Netwing are organized, hosted, and controlled by the organizations that publish them — not by Ember. We do not vet venues, attendees, or event content, and we are not responsible for what occurs at any event. Ticket purchases, where offered, are transacted on the organization's own ticketing provider under that provider's terms. You attend events at your own discretion and risk.
6. Organization claims & admin conduct
Claiming an organization profile requires verification that you are authorized to represent it. We may request documentation, decline any claim we cannot verify, or revoke admin access obtained through misrepresentation. Organization admins are responsible for the accuracy and legality of the content they publish, including event details and uploaded images.
7. Code of conduct
While using the Service, you agree NOT to:
- Misrepresent your identity, professional details, or authority to claim an organization.
- Harass, intimidate, or discriminate against any user, organizer, or attendee.
- Post content that is unlawful, defamatory, obscene, hateful, or infringing.
- Scrape or harvest attendee or organization data, or use it for unsolicited marketing.
- Check in to events you did not attend, or manipulate QR codes or attendance records.
- Send spam, malware, or disruptive content through the Service.
- Attempt unauthorized access to any account, system, or data.
Violations may result in suspension or termination without refund and may be reported to law enforcement where appropriate.
8. Content ownership
Netwing branding, design, and platform content are owned by Ember Development Studios, LLC and protected by copyright and trademark law. Content you or your organization submit (profiles, event listings, images, descriptions) remains yours; by submitting it you grant us a non-exclusive, royalty-free license to display, store, and share it within the Service in accordance with your settings.
9. Communications
By creating an account you consent to receive transactional emails (confirmations, receipts, security and account notices) essential to the Service. Marketing communications, if introduced, will be opt-in and separately unsubscribable.
10. Termination
You may close your account at any time from the app or by emailing support@emberdevstudios.com. We may suspend or terminate accounts for violations of these Terms, non-payment, or as required by law.
11. Disclaimers
The Service is provided "as is" without warranties of any kind. We do not guarantee uninterrupted access, the accuracy of event listings, or the conduct of any user or organization on or off the platform. Networking and business introductions made through Netwing are at your own discretion and risk.
12. Limitation of liability
To the maximum extent permitted by law, Ember Development Studios, LLC and its officers, employees, and contractors will not be liable for any indirect, incidental, special, or consequential damages, or for lost profits or revenue, arising from your use of the Service or attendance at any listed event. Our total liability for any claim is limited to the amount you have paid us in the 12 months preceding the claim.
13. Dispute resolution & governing law
These Terms are governed by the laws of the State of Florida, USA, without regard to conflicts of law principles. Any dispute that cannot be resolved informally will first proceed to good-faith mediation; if mediation fails, disputes will be resolved by binding arbitration in Volusia County, Florida, under the rules of the American Arbitration Association. You waive any right to a jury trial or to participate in a class action.
14. Changes to these terms
We may update these Terms from time to time. Material changes will be posted here with a new "Last updated" date and, where appropriate, announced by email. Continued use of the Service after the effective date constitutes acceptance.
